General Manager - M&A and Business Development

About the role

MTN's Mergers and Acquisitions function is evolving to support the Ambition 2030 strategy, which focuses on digital solutions for Africa, strategic investment insight and operating across multiple jurisdictions. The General Manager of M&A and Business Development leads the function and is accountable for executing M&A and business development transactions, structural separations and new market expansion, while advising the Board and Executive Committee.

Key responsibilities

• Lead end-to-end execution of M&A and business development transactions, keeping them on time, within scope and aligned to value creation objectives
• Manage integrated transaction execution plans, covering milestones, interdependencies, risks and deliverables
• Align cross-functional teams across Finance, Legal, Tax, Risk, Strategy and other units; ensure due diligence, valuation, financial modelling and negotiation preparation are completed to a high standard
• Advise on capital structure with corporate finance and present financial solutions
• Identify and resolve execution risks and bottlenecks to keep transactions moving to closure
• Lead structural separation initiatives, including carve-outs, legal structuring, operational uncoupling and Transitional Service Agreements, and report to executive leadership
• Drive new market entry and expansion, validating commercial viability, regulatory feasibility and financial sustainability, and balancing speed to market with risk management
• Prepare investment cases, Board papers and ExCo submissions, and run stage-gate approvals and deal review forums
• Manage a portfolio of concurrent transactions and initiatives, with prioritisation, resource allocation and transparent reporting dashboards
