Director, Transaction Advisory Services

About the role

FTI Consulting is the leading global expert firm for organisations facing crisis and transformation, working with multinationals, law firms, banks and private equity firms. Its Transaction Services team offers a forward-looking view of the South Africa and EMEA transactions market, providing financial due diligence and value-related advice to buyers and sellers. FTI Consulting is looking for a Director-level candidate (depending on experience) with about 3-4 years of post-qualification Transaction Services experience to join its South African-based team.

Key responsibilities

• Analyse and model the financial performance (past and future) of an acquisition target
• Lead delivery of mid-size complex projects directly with the Partner, or stand alone divisions of FDD on larger projects, covering buy/sell side, refinancing, financial restructuring and equity raising
• Communicate directly with clients on key issues of the FDD engagement and liaise with M&A bankers, commercial advisors, lawyers, financiers and insurers
• Identify key value drivers, SPA price adjustments and deal breakers, and prepare the Equity Bridge and related price adjustments
• Supervise and mentor Seniors Consultants and Consultants, reviewing their analysis and output
• Develop business through client catch-ups, target opportunity identification and awareness of industry and M&A trends

Required profile

• Significant transaction services consulting experience, preferably in a Big Four or similar firm, with private equity or venture fund clients
• CA (SA) / CA / CFA qualification
• Demonstrable experience leading large, complex, multi-geography transactions and presenting findings to senior stakeholders such as PE investors and lenders
• Experience leading, managing and mentoring teams
• Preference given to candidates from designated groups under the Employment Equity Act

Required skills

• Due diligence, market entry, financial restructuring, feasibility studies and business plan validation
• Financial modelling and analysis of acquisition targets
• Equity bridge preparation and price adjustment analysis
