Non-Executive Deputy Chairperson

About the role

Black Management Forum Investments Company (BMFI) is seeking an independent Non‑Executive Deputy Chairperson to support the Chairperson and strengthen board independence. The role is pivotal in guiding the board, handling shareholder concerns, and ensuring robust governance for BMFI’s diversified investment portfolio.

Key responsibilities

• Lead the board in the absence of the Chairperson and act as a sounding board for the Chairperson.
• Serve as an intermediary between the Chairperson and other board members when required.
• Address shareholder concerns that cannot be resolved through normal channels.
• Enhance board independence, especially when the Chairperson is not an independent non‑executive director.
• Chair board discussions and decisions where the Chairperson has a conflict of interest.
• Oversee the performance appraisal of the Chairperson.
• Participate as a member of the Investment Sub‑committee.

Required profile

• Previous CEO or senior C‑suite experience with the ability to mentor the current CEO.
• Extensive prior service as a Non‑Executive Director or chair of board committees such as Audit or Compensation.
• Deep understanding of the investment industry, market trends, regulatory environment, and investment policies.
• Proven track record of establishing long‑term partnerships with private‑sector companies.
• Demonstrated integrity, strategic acumen, and strong facilitation and communication abilities.
