Senior Legal Counsel – Project Finance

About the role

AltGen seeks an experienced Senior Legal Counsel to lead project finance and structured funding transactions for an independent power producer in Gauteng. You will provide strategic legal oversight, work closely with investment, finance and risk teams, and ensure that deals are commercially viable and compliant with regulatory standards.

Key responsibilities

• Lead legal structuring and execution of project finance and structured funding transactions.
• Review, negotiate and draft loan agreements, intercreditor agreements, security documents, guarantees and related instruments.
• Provide legal input on term sheets, transaction structuring and ensure project agreements meet bankability criteria.
• Conduct high‑level reviews of revenue, offtake and Power Purchase Agreements to align with lender requirements.
• Coordinate legal deliverables for conditions precedent, security perfection and financial close.
• Translate legal risks into commercial implications and advise on risk allocation across lenders, sponsors and contractors.
• Monitor energy‑sector regulatory developments and ensure compliance with electricity market and grid frameworks.
• Act as lead negotiator with sponsors, lenders, DFIs and government entities, and manage external counsel.
• Support post‑close activities such as refinancing, restructuring and ongoing legal oversight.

Required profile

• Extensive experience in project finance, structured funding and infrastructure transactions.
• Strong knowledge of energy, electricity market and grid regulatory frameworks.
• Proven ability to work cross‑functionally with investment, finance, funding and risk teams.
• Excellent negotiation skills with lenders, DFIs and government bodies.
• Ability to identify structural risks early and propose effective mitigation strategies.
