Senior Legal Counsel

About the role

Our client, a fast‑growing group active in private capital, private debt and renewable energy, is looking for a Senior Legal Counsel to join its in‑house legal team. Reporting to the Head of Legal & Governance, you will work hands‑on across complex transactions and corporate governance matters, directly influencing strategic decisions.

Key responsibilities

• Act as the primary corporate commercial legal advisor for private debt, private capital and renewable energy deals.
• Draft, negotiate and manage the full lifecycle of commercial agreements, transaction documents and security arrangements.
• Provide deputy company secretarial support, ensuring compliance with the Companies Act, managing board processes, resolutions and statutory records.
• Support execution of renewable energy transactions, including funding structures, PPAs and distributed energy assets.
• Advise on debt security structures, risk allocation and enforcement considerations.
• Attend and prepare materials for Board and Investment Committee meetings, record decisions and track actions.
• Liaise with finance, compliance, investment teams, external auditors and counsel.
• Assist with due‑diligence, KYC processes and maintenance of corporate records for investors and counterparties.

Required profile

• Admitted attorney with solid commercial acumen.
• Experience in corporate, private debt and renewable energy transactions.
• Proven ability to manage complex deal documentation and security arrangements.
• Strong understanding of company secretarial duties and corporate governance.
• Resilient, proactive and comfortable working in a fast‑paced environment.
