Banking and Finance Attorney

About the role

Motsoeneng Bill is seeking a technically excellent, commercially minded Banking & Finance Attorney to join its MB Finance Practice in Houghton, Johannesburg. The role involves advising a diverse client base of local and international lenders, borrowers, sponsors and funders on a wide range of financing transactions.

Key responsibilities

• Draft, negotiate and finalise loan agreements, including LMA‑style bilateral and syndicated facilities.
• Prepare facility letters, security documentation, intercreditor agreements and ancillary documents.
• Advise on and structure security arrangements such as cessions, guarantees, pledges and registrations.
• Conduct and coordinate legal due diligence for leveraged, acquisition and project finance deals, identifying risks and proposing mitigation strategies.
• Draft enforceability opinions and liaise with external counsel in other jurisdictions.
• Monitor regulatory and market developments affecting banking transactions and keep senior partners informed.
• Manage client relationships, attend negotiations and mentor junior fee earners.

Required profile

• LLB (or equivalent) and admission as an Attorney in South Africa.
• 4–5 years post‑admission experience in commercial lending, bilateral and syndicated loans, and security documentation.
• Strong drafting and negotiation skills, particularly with LMA‑style documentation.
• Commercial awareness and ability to structure deals that meet client objectives while managing legal risk.
