Senior Associate – Investment Fund (JSE Sponsor)

About the role

A leading independent corporate advisory and JSE Sponsor firm in Sandton is seeking a Senior Associate to specialise in the Equity Sponsor sphere. The role focuses on the regulatory framework of the Johannesburg Stock Exchange, providing commercial advice and ensuring compliance for listed companies.

Key responsibilities

• Regulatory Advisory: Advise listed clients on JSE Listings Requirements, Companies Act and Takeover Regulations.
• Transaction Management: Draft and review shareholder circulars, pre‑listing statements, prospectuses and SENS announcements.
• Corporate Actions: Support capital raisings, unbundlings, rights offers and M&A transactions.
• Compliance Monitoring: Manage ongoing obligations of listed client portfolios to maintain exchange compliance.
• Due Diligence: Conduct detailed legal and financial due diligence for new listings and corporate transactions.
• Liaison: Act as primary contact between listed company boards and the JSE.

Required profile

• LLB degree (BCom Law advantageous).
• Admitted Attorney of the High Court (or about to be admitted) and JSE Sponsor Development Programme qualification.
• Minimum 4 years post‑qualification experience in Banking & Finance or Corporate & Commercial departments of a reputable law firm.
• Strong interest in financial markets and ability to interpret financial statements.
• High attention to detail, resilience under pressure and confidence to engage with C‑suite executives.
