Remote In-house Counsel – Corporate Law

About the role

We are seeking a seasoned corporate attorney to join a fast‑growing technology platform as an in‑house counsel. Working remotely, you will provide legal guidance on governance, compliance and transactional matters, helping the company scale safely and efficiently.

Key responsibilities

• Draft, review and negotiate commercial contracts such as service agreements, partnership agreements and vendor contracts.
• Advise on corporate governance, including board and shareholder meetings, corporate policies and compliance with state and federal regulations.
• Ensure adherence to data privacy, security requirements and other applicable laws.
• Manage corporate filings, maintain minute books, stock ledgers and corporate certificates.
• Support mergers, acquisitions and other corporate transactions as needed.

Required profile

• Juris Doctor (JD) from an accredited law school and active membership in a state bar.
• Minimum five years of experience in corporate law with a focus on transactional and compliance matters.
• Proven ability to work independently in a remote environment.
