M&A Attorney – Remote Contract

About the role

We are seeking an experienced M&A Attorney to join a leading technology and internet company on a contract basis. This fully remote position allows you to provide high‑level legal counsel on mergers, acquisitions, and related corporate transactions from anywhere.

Key responsibilities

• Draft, review, and negotiate purchase agreements, asset purchase agreements, and stock purchase agreements.
• Conduct thorough due diligence on target entities and identify legal risks.
• Advise on corporate governance, securities regulations, and compliance matters specific to M&A deals.
• Collaborate with finance, tax, and operations teams to ensure smooth transaction execution.
• Maintain transaction documentation that meets legal standards and mitigates liability.

Required profile

• Juris Doctor (JD) from an accredited law school.
• Active membership in a state bar with at least three years of M&A experience.
• Proven experience with domestic and cross‑border M&A transactions.
• Strong analytical ability to interpret complex legal documents.
