Legal Advisor - Commercial

About the role

The Commercial Legal Advisor will provide timely and sound legal support to the Fund Management Division, working closely with the investment team to assess and mitigate legal risks associated with corporate finance, structured finance and investment banking transactions.

Key responsibilities

• Deliver prompt legal advice on franchise, contract finance and other commercial deals.
• Conduct legal due‑diligence assessments on investments and draft related reports.
• Identify legal risks and propose mitigation strategies.
• Prepare and negotiate commercial agreements such as loan agreements, share purchase agreements, sale of business and security documents.
• Ensure all agreements align with term sheets, Investment Committee approvals and current legal developments.
• Manage external legal costs and budgets.

Required profile

• LLB degree and admission as an attorney with at least three years post‑article experience.
• 3–5 years of corporate and commercial law experience, preferably in banking and finance.
• Strong knowledge of corporate finance, structured finance and investment banking law, with familiarity in tax, Companies Act, insolvency and labour law.
• Proven ability to work independently and within a team, with excellent communication and negotiation skills.
