Remote In-house Counsel – Corporate Law

About the role

We are seeking an experienced corporate attorney to join a fast‑growing technology platform as a remote in‑house counsel. The role focuses on corporate governance, regulatory compliance, and transactional support for a global leader in the internet industry.

Key responsibilities

• Draft, review, and negotiate commercial contracts such as service, partnership, and vendor agreements.
• Advise on corporate governance matters, including board and shareholder meetings and compliance with state and federal regulations.
• Maintain corporate filings, minute books, stock ledgers, and corporate certificates.
• Support data‑privacy and security compliance initiatives.
• Provide legal assistance for mergers, acquisitions, and other corporate transactions.

Required profile

• Juris Doctor (JD) from an accredited law school.
• Active membership in a state bar association.
• Minimum of 5 years of corporate law experience, focusing on transactions and compliance.
• Proven ability to work independently in a remote environment.
