Legal Counsel – Fund Investments Lawyer

About the role

responsAbility is seeking a motivated Legal Counsel to join its Legal & Compliance function, specifically within the Legal Investments & Restructuring team. You will support private‑market investment activities, providing pragmatic, business‑oriented legal advice to internal stakeholders in a fast‑paced, international environment.

Key responsibilities

• Act as a trusted legal partner to investment professionals, advising on fund‑of‑fund transactions, primary commitments, co‑investments and secondary deals.
• Draft, review and negotiate legal documentation such as LPAs, subscription agreements, side letters and ancillary documents.
• Support fund structuring and product development in close collaboration with internal teams and external parties.
• Review legal opinions, regulatory confirmations and tax documentation; manage external counsel across multiple jurisdictions.
• Advise on portfolio investment matters, including amendments, restructurings and unwinding exposures.
• Deliver targeted legal training and guidance to investment teams, enhancing internal know‑how and best practices.
• Contribute to continuous improvement of processes, templates and playbooks.

Required profile

• Qualified lawyer with experience in fund investments, private‑market transactions and fund‑of‑fund structures.
• Hands‑on, solution‑driven approach with the ability to operate effectively in a fast‑paced, international setting.
• Proven ability to manage external counsel and navigate cross‑jurisdictional legal issues.
• Strong communication skills to provide clear guidance to investment teams.
