Head of Legal and Compliance (Investment Banking)

About the role

The company is seeking a Co‑Head of Legal & Compliance to jointly lead the legal and compliance function across its investment banking and investment management businesses. Reporting directly to the CEO, the role combines strategic oversight with hands‑on execution of regulatory, corporate, and transactional matters.

Key responsibilities

• Co‑lead the legal and compliance function across the Group, advising senior executives on legal and regulatory risk.
• Prepare and submit regulatory reports to the FSCA and FICA, and monitor evolving legal frameworks.
• Oversee corporate secretarial duties, entity incorporations, and insurance management.
• Manage KYC processes for Verdant Capital and coordinate with external parties.
• Support investment banking and fund teams with NDAs, term sheets, engagement letters, investment agreements, and related documentation.
• Maintain internal contract templates, records, and review employment contracts, stock grants, and technology tools.
• Handle disputes, litigation, arbitration, and manage relationships with external law firms.

Required profile

• LLB degree and admission as an attorney.
• Strong academic record.
• Minimum five years post‑qualification experience, preferably with in‑house exposure to financial services, funds, or investment banking.
• Experience working across multiple jurisdictions.
• Demonstrated knowledge of anti‑money‑laundering and regulatory compliance in more than one jurisdiction.
